This position will have the opportunity to make an immediate contribution to Jive?s continuing growth and success. This attorney will report to and support the General Counsel in all aspects of the company?s corporate and international legal functions, including securities, compliance, governance, compensation, treasury, tax, employment and real estate matters as well as M&A transactions, complex and routine financing transactions and litigation. We are seeking a motivated, smart, self-starter to take initiative and ownership of key projects, procedures, and transactions and closely partner with business functions across the organization. As this role will act as the second-in-command on corporate and compliance issues, the ideal candidate will be flexible and able to simultaneously manage a variety of projects which may involve multiple departments, offices and geographies. This role presents an opportunity to be involved in all corporate aspects of a young public company poised for growth domestically and internationally. The position may be located in either Portland, Oregon; Palo Alto, California; or San Francisco, California with required travel between the offices. Compensation is based on experience and includes equity compensation.
Minimum Requirements:
Juris Doctorate and current bar admission is required.
A minimum of either 7 years of legal experience with a mix of corporate law firm and in-house experience being a plus.
Self-starter with initiative and demonstrated creative problem-solving ability.
Pragmatic and business-focused mindset with demonstrated ability to take ownership and resolve issues with minimal supervision.
Proven ability to independently lead and execute challenging transactional engagements including complex M&A transactions ?from preliminary/conceptual advice, through structuring, due diligence, negotiating, drafting, closing, integration and post-closing conflict resolution.
Strong background in federal and state securities and corporate laws, as well as applicable rules and regulations of exchanges and industry organizations that affect public company reporting or compliance and public M&A, including Sarbanes-Oxley, Dodd Frank, NASDAQ, FINRA, ISS, Glass Lewis, etc.
Experience with international transactions and disputes including through the management of outside international counsel.
Strong judgment and ability to work collaboratively across an organization and ability to thrive in a fast-paced, flexible culture.
Strong work ethic, well-organized, and detail-oriented. Must be able to manage numerous projects simultaneously under deadline pressure.
Flexibility is required, with the ability and willingness to work extended hours, weekends or holidays, and to travel, as required.
Successful completion of a background screening process including, but not limited to, employment verifications, criminal search, OFAC, and SS verification.
