Position Description
The Assistant General Counsel will serve as a key member of the legal department and will assist the General Counsel and other members of the executive team in executing overall strategic objectives from both legal and business perspectives. Reporting to the General Counsel, this position will have supervisory responsibility for other lawyers and paraprofessionals within the legal department. This position will be based in San Francisco, California.
Responsibilities
?Transactional and management support for the financing of Sunrun?s solar energy projects, including drafting, reviewing and negotiating tax equity financing agreements, credit facilities and other project finance transactions; counseling Sunrun?s finance group with regard to the structuring of such transactions, including identifying critical project risk issues and making appropriate recommendations.
?Drafting, reviewing and negotiating transactions relating to the development of solar energy projects, such as equipment, procurement, construction contracts and power purchase agreements.
?Corporate and commercial transactional support, including corporate equity financings, mergers and acquisitions, vendor agreements/relationships and professional service agreements.
?Contribute to creating, developing and implementing processes, procedures, best practices, systems and controls within the Sunrun Legal Department. Make recommendations for improving such policies, processes and controls to General Counsel.
?Regularly interface with and advise the General Counsel and executive management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies. Resolve claims and contract disputes.
?Cross-team collaboration and coordination of legal workload with colleagues.
Qualifications
?8+ years of experience as a transactional attorney with training received from a top U.S. law firm.
?Prior in-house experience is helpful but not required.
?Will consider candidates with state bar admission outside of California so long as they can qualify as Registered In-House Counsel with State Bar of California.
?Prior experience in areas of project and/or corporate finance and other transactional expertise is required.
?Overall, possess excellent drafting, negotiating and client communication skills to: (a) identify complex legal issues related to assigned matters, develop alternative solutions and implement resolutions, and (b) regularly negotiate independently on significant matters and areas of importance.
?Creative, independent thinkers who are adaptable and comfortable managing changing priorities in a fast-paced, time-critical environment.
?Possess excellent time management, project management, dispute resolution and interpersonal skills.
?Reputation for being a team player with an ability to focus, direct, and manage the efforts of external legal resources to provide critical legal support.
