The Adknowledge Legal Department proactively and effectively administers the company?s legal affairs by internally providing professional, timely and useful legal advice and services and arranging and actively managing the services of outside counsel as needed; minimizes liability exposure by recommending and implementing appropriate policies, practices, and procedures; and administers such legal affairs in the most cost-efficient manner reasonable.
The Legal team is currently comprised of 4 professionals with the Chief Legal Officer responsible for the department?s activities; located in the Head Quarters in Kansas City, Missouri. This position will report to the Chief Legal Officer.
The Associate Counsel will be responsible for providing commercial legal/transactional advice and support for Adknowledge?s Apps and New Ventures business channels. This role will primarily focus on developing, reviewing and negotiating advertising IOs, terms & conditions, as well as vendor and other commercial contracts while closing Apps and New Ventures related deals. Primary duties include:
Commercial Contracting: working with internal clients to review and negotiate customer and vendor contracts
Deal Management: responsible for shepherding commercial transactions through negotiation process to closing
Additional responsibilities may include assisting with managing litigation and intellectual property matters, working with Internet and data privacy issues, assisting with mergers & acquisitions transactions and other matters as they arise.
The successful candidate will be an inspiring and confident leader with at least:
JD degree from an accredited law school with excellent academic credentials, plus MBA preferred.
Minimum 4 years of business and legal affairs experience at an online advertising company and/or major law firm.
Strong experience in drafting, reviewing and negotiating contracts for commercial transactions (sales agreements, vendor agreements, terms & conditions, etc.).?
Strong understanding of business operations and project management issues.
Adept at legal research, analysis and problem-solving.
Strong computer skills working with but not limited to; Microsoft Office, especially Word, Excel, and PowerPoint.
