The Adknowledge Legal Department proactively and effectively administers the company?s legal affairs by internally providing professional, timely and useful legal advice and services and arranging and actively managing the services of outside counsel as needed; minimizes liability exposure by recommending and implementing appropriate policies, practices, and procedures; and administers such legal affairs in the most cost-efficient manner reasonable.
The Associate Counsel will be primarily responsible for supporting Adknowledge?s Internet advertising business in reviewing and negotiating advertising IOs, terms & conditions and other commercial contracts relating to Adknowledge?s global business. Responsibilities may include:
Commercial Contracting: working with internal clients to review and negotiate customer and vendor contracts.
Additional responsibilities may include assisting with managing litigation and intellectual property matters, working with Internet and data privacy issues, assisting with mergers & acquisitions transactions and other matters as they arise.
The motivated and enthusiastic candidate will have at least:
JD degree from an accredited law school with excellent academic credentials.
Three to four years? experience at a top tier regional law firm.
Strong experience in drafting, reviewing and negotiating contracts for commercial transactions (sales agreements, vendor agreements, terms & conditions, joint ventures, etc.).
Strong understanding of business operations and corporate governance issues.
Adept at legal research, analysis and problem-solving.
Strong computer skills including, but not limited to, Microsoft Office, especially Word, Excel, and PowerPoint.
Understanding of and experience in Internet industry, on-line advertising and/or technology companies is preferred.
Some litigation and/or intellectual property experience is preferred.
Bilingual: German, French or Portuguese fluency is a plus.
