DescriptionProofpoint Legal is seeking an Associate Counsel to help build the legal function at the company.
The Proofpoint Legal Department is dedicated to providing expert legal advice in a fast-paced business environment. This role is crucial to building the culture and success of the legal function to help drive Proofpoint?s growth. The position will be an individual contributor on a close-knit legal team. The successful candidate will be comfortable leading the Proofpoint team on a deal and making quick decisions that comply with company policy and strategy. The position is located in Sunnyvale, CA and requires consistent presence in the headquarters office.
Responsibilities:
Provide primary legal support for commercial and corporate transactions and development of templates and forms, including drafting, reviewing and negotiating a broad range of commercial agreements, including SaaS, channel, licensing, service and operational agreements; as well as support for certain aspects of M&A and other corporate transactions (70%)
Drive development and implementation of various legal templates, forms, training materials, communications and operational systems to improve the delivery and scalability of legal resources to a worldwide, distributed client base (20%)
Provide legal analyses of applicable laws, regulations and industry guidance that impact product development, operations and commercial agreements, and assist in the design and implementation of appropriate policies to ensure compliance (5%)
Proactively communicating issues back to management and driving good business, legal and operational processes throughout the organization; drafting and implementing related policies; travel as requested (5%)
Requirements:
The successful candidate will be a collaborative, strategic and quick-witted individual with meaningful experience and skills in the following areas:
Commercial transactions with Fortune 1000 companies, and Channel (VAR, OEM, SI, etc.) programs and relationships required
A broad range of legal issues for in-house counsel
An excellent negotiator with strong influencing skills and experienced at drafting commercial and IP related contracts
A strong drafter with attention to detail and ability to develop new forms and work off of non-form paper.
Communicating effectively in person, in groups, over email and more formal documentation
A practical, creative and proactive problem-solver who is confident and calm under fire
Highest degree of personal and professional integrity and ethics
3-5 years experience as an attorney, with previous in-house experience preferred
Law firm (AMLAW 200 or equivalent) experience preferred, especially in business transactions, litigation, intellectual property and/or licensing.
Excellent academic performance
Member in good standing of California state bar
