The Associate General Counsel position seeks applicants committed to practicing law in a fast-paced environment with an ability to thrive in a roll-up-your-sleeves atmosphere. In this position, the individual will provide legal counsel to, and draft and negotiate contracts for, NaviNet and its affiliates primarily in connection with the licensing of software products and the provision of healthcare-related information technology services, and related partner transactions. The Associate General Counsel will advise multi-disciplinary teams on various legal issues and will work closely with the senior leadership team on various corporate opportunities and governance issues. The Associate General Counsel will have the ability to participate in the creation of forward-thinking deal structures in conjunction with industry thought-leaders in an innovative, growing company focused on transforming healthcare.
(in order to be considered for this position, the individual must be able to perform essential functions listed below):
Provide legal advice, guidance and support to the business on corporate governance, corporate transaction and contracting matters as well as business strategies
Work closely with all members of the senior leadership team to proactively identify and resolve legal and related matters
Maintain corporate governance functions and provide advice related to partnership arrangements
Manage outside counsel and foster key governmental and regulatory relationships
Review, draft and negotiate material agreements
Assist with Corporate Compliance efforts, especially as related to HIPAA; develop best practices for addressing emerging legal and business risk
Other duties as assigned by the Chief Financial Officer

QUALIFICATIONS & REQUIREMENTS:
JD from an accredited law school with proven academic success
Admission to MA Bar preferred; will consider candidates admitted to the Bar of other states
8+ years of legal experience in a law firm or corporate with technology and/or healthcare industry
Knowledge of state and federal health care, insurance, privacy, intellectual property, and related laws
Strong oral and written communication skills
Substantial experience advising sophisticated business clients and structuring complex legal agreements and commercial transactions
Ability to build and maintain rapport with superiors, peers, subordinates and external company contacts
Knowledge and experience in technology and healthcare industries will be extremely beneficial for the success of a qualified candidate
Proven track record demonstrating the ability to independently make decisions regarding complex legal and corporate issues
