THIS JOB HAS EXPIRED Experienced transactions attorney sought for Tanjarine, a rapidly growing, dynamic, privately held dining and entertainment platform business. The ideal candidate will have very strong contract negotiation and drafting skills; will provide strategic, creative and effective legal and business advice; will use sound judgment in balancing legal risk against business needs and goals; work seamlessly and effectively with internal clients at all levels of the company and across all functional groups including Sales, Finance, Product Management, Engineering and HR; and efficiently manage a wide variety of responsibilities concurrently, e.g., commercial transactions, IP, licensing, etc.
The Associate General Counsel for Tanjarine reports to the General Counsel of TouchTunes Interactive Networks, Inc. (Tanjarine?s parent) and is responsible for the day-to-day legal activities of Tanjarine as well as assisting the General Counsel with the oversight of all legal activities of Tanjarine. The Associate General Counsel will work closely with Tanjarine?s President and other business team members serving as their advisor and partner on a variety of commercial transactions, IP, licensing and other legal matters.
Draft and negotiate commercial/IP agreements with customers, technology partners, services providers, vendors, and licensors (including a wide variety of technology licenses, services agreements and game license agreements).
Oversee contracting processes and management.
Create contract templates for new products and services.
Manage relationships between legal and various business groups within the company.
Provide leadership as a participant in business team projects and meetings and serve a legal representative for such matters, including, commercial transactions, IP issues, licensing, etc.
Contribute to business and legal teams as an advisor, idea generator, creative and strategic thinker.
Skills and competencies:
Five years of solid commercial/ IP transactions experience within a major law firm as well as in-house counsel within a corporation (strongly preferred). Experience with IP licensing and technology-related transactions highly preferred.
J.D. from top law school with strong academic record and bar admission (and in good standing) in any U.S. state (preferably California)
Rigorous and thorough legal analytical skills. Highly organized with a strong work ethic.
Ability to analyze issues and generate elegant solutions balancing business needs and company priorities; ability to focus on relevant and material information. Comfortable with technology, e.g., SaaS agreements IP Licensing (including game licensing) and other commercial transactions.
Ability to explain complex facts and conclusions simply, clearly and logically in written and oral communications.
Ability to prioritize tasks and responsibilities logically and plan work efficiently. Easily adapt to changing needs and priorities inherent in a growth-oriented business.
Able and willing to take direction from General Counsel but also highly motivated self-starter, able to accomplish tasks, make decisions, and handle frequently encountered issues with minimum supervision.
