This position will work closely with business leaders to provide support for rapidly-evolving software product and service lines.
Essential Responsibilities:
? Structuring, negotiating, and closing complex customer licensing agreements, strategic alliance agreements, distribution agreements, supplier agreements, and other significant commercial transactions
? Developing legal strategies to address new business and commercial models
? Supporting ongoing global business and international expansion
? Assisting ongoing development and commercialization healthcare IT offerings
? Translating new healthcare legislation and regulation into market-leading business strategies
? Advising on privacy, intellectual property, advertising, compliance, governance, and antitrust matters
? Addressing novel concerns raised by the development and licensing of clinical content and electronic medical records and managing significant commercial disputes
Basic Qualifications/Requirements:
? JD (or equivalent) from top law school and active bar membership
? Minimum 4 years of business law experience at a premier law firm or corporate legal department
? Must be willing to work out of corporate offices located in or near Bellevue, Washington
Desired Qualifications:
? Experience in the software industry, including previous experience with complex licensing and/or commercial disputes
? Experience in the healthcare industry, with previous exposure to healthcare industry regulations (HIPAA, anti-kickback, FDA)
? Experience drafting, negotiating, and closing complex business transactions
? Experience providing legal advice in a highly regulated environment
? Experience providing legal advice regarding novel and unprecedented legal issues in emerging technology and/or healthcare market segments
? Experience with international transactions
? Outstanding interpersonal skills and ability to communicate at all levels of the organization
? Ability to work well independently and in a team setting, with superior analytical and drafting skills, the ability to identify and resolve legal issues quickly and effectively, and the judgment to make on-the-spot risk calls
? Ability to prioritize conflicting demands from multiple business clients in an extremely fast-paced environment
