Commercial Counsel Durata Therapeutics, Inc.
THIS JOB HAS EXPIRED POSITION DESCRIPTION:
The Commercial Counsel will provide general commercial legal support to the Company on all aspects of the business and work closely with business teams to contribute to the Company?s financial and operational success. This position will report directly to the General Counsel.
OVERSIGHT AND EXECUTION RESPONSIBILITIES:
The main responsibilities of this role include, but are not limited to:
Serve as a legal advisor to all business units regarding corporate, commercial, and transactional and contract matters
Participate with internal clients and third parties in commercial negotiations
Develop customer contracting policy and process. Draft, review and advise on all Customer contracts.
Draft, review and revise contracts for all aspects of the business including, but not limited to, clinical trial agreements, vendor agreements, confidentiality agreements, and consulting agreements
Assist the Chief Legal Officer with corporate governance, Board of Director-related and compliance responsibilities and public company legal support
Establish and maintain a contract database system
Identify and keep Chief Legal Officer informed and apprised of material risks and issues
Handle any other legal matters as requested by Chief Legal Officer
TRAINING AND EDUCATION:
JD Degree required with strong academic credentials
Must be a member of the Illinois bar or any bar that allows registration with the Illinois bar as in-house counsel
At least 3 years of experience with major law firm or corporate law department
At least 3 years of experience drafting and negotiating life sciences-related commercial contracts with a top law firm or in-house legal department
Must have strong written and verbal communications skills, high attention to detail and excellent time management and problem solving ability
Gives candid advice; actively supports corporate decisions even if unpopular
Demonstrates humility, good judgment, strong analytical skills, anticipates obstacles, and adjusts quickly to changes
Is capable of organizing and prioritizing several projects simultaneously
Understands the environment and is aware of projected directions of the industry
Must have sound, practical, and strategic business judgment
Ability to work with little or no supervision, but with the good judgment to know when to involve others or ask for guidance.
