The candidate will negotiate, prepare and review commercial contracts (software licenses, services agreements, statements of work, and distribution agreements) for company's on-premise and SaaS businesses in North America.
Work in close coordination with sales executives, business managers and members of the company's finance and accounting teams, and report directly to the General Counsel.
Oversee, and act as an advisor to, commercial legal personnel located in North America and EMEA.
Develop negotiation strategy and leads negotiation team on complex contractual issues.
Identify, develop and implement new contract policy and processes.
Assist in new business pursuit and associated contract strategy.
Function as domain expert on selected areas and issues.
Understand and apply revenue recognition rules.
Perform other assignments as assigned by the General Counsel.
J.D. degree with 6+ years of software licensing experience.
Should have ability to understand and interpret contractual terms and identify potential issues.
Prior in-house experience is strongly preferred.
International experience is preferred.
Must have excellent legal drafting and verbal communication skills, be results-oriented and efficient, and have the ability to perform duties with minimum direct supervision.
Should have strong negotiation skills and a high level of integrity.
Some travel may be required.
