Reporting to the Vice President, Chief Accounting Officer, the Atlanta based Contracts Manager drafts, reviews, edits and negotiates sales contracts and other agreements including but not limited to non-disclosure, evaluation, professional services, master purchase, reseller, and software as a services / license agreements that comply with company policies and risk tolerance, while working collaboratively with the sales and finance teams.
The Contracts Manager is expected to:
Collaborate with Sales, Finance, Client Services and Technology, on deal structure and contracting issues.
Responsible for drafting clear and precise terms to accurately reflect agreement and understand of all legal and business concepts relating to software licensing agreements.
Draft complex customer contracts, including description of services and performance guarantees.
Draft and negotiate confidentiality agreements, business associate agreements, etc.
Negotiate business terms and contract language with Streamline Health prospects and clients.
Provide assistance to other company departments regarding customer contracts.
Maintain contract templates reflective of current solutions.
Responsible for ensuring that sales contract processes adhere to internal SOX and revenue policies.
Assist in identification, development and implementation of new contract policies and processes.
Maintain a current knowledge of software licensing terms and revenue recognition policies.
Handle questions regarding contract interpretation and status from customers.
Work with outside counsel as required.
Prepare agreements, amendments, addenda, contractual terms and exhibits that are moderate to complex, non-routine contractual instruments.
Paralegal certificate or JD is a plus.
Strong foundation and understanding of legal documents, contracts and relevant legal terminology.
Four + years of contract review, negotiation & drafting a wide variety of commercial and technology related agreements at law firms and/or technology companies.
Outstanding business judgment with the ability to think strategically and give practical advice.
Extremely pro-active, self-sufficient, organized and able to exercise sound professional legal and business judgment.
Excellent negotiator, able to effectively articulate issues externally and internally.
Exceptional attention to detail.
Strong sense of urgency & excellent conflict resolution skills.
Excellent written and interpersonal communication skills.
Ability to organize, prioritize and manage multiple tasks and deadlines.
Desire and ability to work in a fast-paced, high-growth environment.
Must be competent with Microsoft Office programs, including Word, Outlook and Excel.
Knowledge of database management.
Must live in Atlanta, GA.
Ability to sit at a desk and work on a computer for long periods of time.
