The Contracts Manager review, draft, negotiates and administer commercial contracts terms and conditions with customers and partners located principally in North America. Maintain and improve the commercial contract database system, from initiation of contract negotiation to contract signing and retention/storage of executed contracts in an accessible database. Develop and lead training sessions on contracts, company terms and conditions, Incoterms, and other applicable matters for delivery to sales and other functional areas.
Education: Bachelor?s Degree required. JD preferred
Experience: 5 ? 8 years of experience negotiating and managing commercial contracts, preferably involving software licenses and other hardware and intellectual property components, in a fast paced in-house environment
Contract negotiation (especially licenses)
Contract Database management
General knowledge of laws and regulations applicable to corporations
Detail oriented and highly organized
Ability to prepare clear and concise written documents
Excellent time management, decision making and presentation skills
Strong written and verbal skills
Working knowledge of PCs, word processing, spreadsheets, and legal reference materials
Exemplary interpersonal skills, including the ability to work well with individuals
Essential Duties & Responsibilities include, but are not limited to the following:
Negotiate confidentiality, evaluation and simple license agreements in accordance with company policies and legal requirements.
Maintain and improve commercial contract system, including intake, tracking and repository
Ensure completeness and accessibility of contracts and contract information for internal clients
Independently determine methods and procedures
May act in team lead role by coordinating activities of personnel
Lead in the development of solutions of complex problems
