This position is based in the SOMA district of San Francisco. We are located next to a Muni Metro station, close to Cal-Train, and 10 minutes by Muni from BART.
Objective of Position
The Contracts Manager / Corporate Paralegal will provide support for attorney in legal department primarily as a Contracts Manager, Paralegal and Stock Plan Administrator for a private company.
Prepares and reviews NDAs, evaluation, license, reseller, referral and teaming agreements
Assists global Sales Team with commercial transactions and business terms including use of SalesForce.com for sale opportunities and preparation of pricing exhibits
Assists with preparation for quarterly Board meetings; maintains corporate records for parent and subsidiaries, including preparation of documents for subsidiary formation and maintenance
Prepares and assists with Source Code Escrow account and deposits
Maintains various corporate compliance filings, such as filings related to export compliance and EU safe harbor
Manages patent annuities filings
Maintains Equity Edge database including option grants, exercises, sales, and dispositions
Prepares stock option agreements, and termination reports
Assists with shareholder and board mailings and other communications
Bachelor?s degree or similar
At least 5 years of experience as a Corporate Paralegal or Contracts Manager
Paralegal Certificate preferred and/or significant in-house work experience.
Strong verbal and written communication skills
Excellent planning & organizational skills, time management, administrative & analytical skills
Strong attention to detail and ability to work quickly and efficiently under tight deadlines with minimal supervision
Ability to work with others directly and indirectly. Ability to interrelate politely, professionally but firmly with demanding clients and influence them as needed
Ability to work independently with minimal supervision
Willingness to work on new and various tasks that may be out of this person?s comfort zone.
Knowledge and expertise in use of SalesForce.com preferred
Knowledge and expertise in use of Equity Edge preferred
Special Working Conditions
Position will be located in the San Francisco headquarters office near AT&T Park.
Generally hours will be standard business days Pacific Time. However, from time to time, additional work hours may be requested to accommodate international matters or an anticipated increase in work flow at the end of each quarter
