Contracts Manager ApoCell

Provide oversight on contracts and forms, revising and ensuring all verbiage and statements are correct. This includes negotiating the terms and conditions in contracts and ensuring compliance with the terms and conditions, as well as documenting and agreeing on any changes or amendments that may arise during its implementation or execution.
Duties and Responsibilities
Liaising and negotiating contracts with customers, vendors, attorneys, and others as needed
Negotiating legal agreements including but not limited to CDA, MSA, LSA, SOW, Consulting Agreements, Maintenance Agreements, Pricing Agreements, Sales Agreements, etc.
Evaluating customer needs for drafting of terms and conditions
Seek out Purchase Orders as necessary for contracts as part of contract execution and funding mechanism
Work with Accounting, PM, Laboratory, S&H to ascertain the extent of any contract overage or changes in project direction and prepare initial draft of addendum(s) to cover additional or modified scope of project
Create and maintain project ?tip? sheets containing project external and internal contacts and certain key details of the project budget for ease of finance project tracking
Maintain MSA, Contracts, and other legal document schedules to ensure proper and accurate tracking of outstanding legal documents
Proactively seek out legal agreement extensions where agreements are due to lapse
Monitor legal agreements for other changes as necessary due to changes in business needs
Monitor all company Intellectual Property rights, agreements, legal proceedings, etc.
Establish set of guidelines for key terms and conditions by contract type
Update operations dashboard on a weekly basis
Monitor contract turnaround times, particularly monitoring stagnant contracts and address with CEO and/or CFO on a bi-monthly basis
Expected turnaround time for CDAs with no edits, as soon as possible ? max 48 hours
Expected turnaround time for MSAs with no edits, as soon as possible, or within one week
Education: Bachelor?s Degree in Business or a related field or the equivalent in work experience
Minimum 5-10 years of contracts experience
Excellent oral and written communication skills
Good planning, organization, analytical, and strategy skills
Fundamental knowledge and understanding of contract terms preferred
Ability to interface with all levels of management, staff, clients and outside business contacts
Ability to work under tight deadlines
Proficient in use of Microsoft Office software including Word, Excel, Outlook, and PowerPoint
Experience with grant submission is a strong plus.
Job requires possible long hours and work in the evenings.
Although not physically demanding, reasonably good health is required for this demanding position.
