Reporting to the President and Chief Executive Officer, the Corporate Counsel, as the only lawyer on staff, can expect to handle, personally or with light assistance from specialists as required, all contracting (which can be extensive), human capital, governance and preliminary and operational M&A matters. Capital formation and periodic reporting are currently the domain of outside counsel. While the Corporate Counsel formally reports to the CEO, the Corporate Counsel will interact with all members of the senior executive team as well as vice president and director-level personnel.
The Corporate Counsel upon hire should be prepared to:
Draft or review and revise and assist in the negotiation of all in- and out- (to clients and distribution partners) licensing agreements.
Review and revise all leases of real property and equipment and agreements with vendors of sundry goods and services ranging from data centers to temporary help agencies.
Collaborate with Human Capital in the drafting of all arrangements (and occasionally the termination of such arrangements) with executives and other employees and of corporate policies bearing on employment.
Support Finance and Client Services in their efforts to collect accounts receivables.
Help to organize and minute board and committee meetings and draft related policies.
Assist the CEO and the CFO in the drafting of confidentially agreements and letters of intent with respect to stock and asset acquisitions and with any subsequent due diligence review of the target entity.
Develop and maintain a library of agreements in force, contract templates and best practices.
Passionate, upbeat, pro-active, self-sufficient, organized and high-energy; must be a ?people person.?
Hold a Bachelor?s Degree, a Juris Doctor Degree (from an accredited law school, with an excellent academic record) and bar admission(s), both current and in good standing.
10+ years of relevant experience with corporate transactions; working knowledge of the health care industry preferred; additional employment law and HIPAA, SOX or SEC compliance background a strong plus. Such experience should include law firm and in-house (ideally with a software or health care company), with progressive levels of responsibility, eventually including first chair drafting and negotiating of complex agreements and extensive interaction with client management.
Excellent verbal and written communications skills.
Possess outstanding business judgment with the ability to think strategically and give practical advice to fast moving executives.
Demonstrate competence with Microsoft Office programs, including Word, Outlook, Excel and PowerPoint.
Strong sense of urgency, excellent conflict resolution skills and the ability to multi-task under tight deadlines.
Must reside in Atlanta, GA and work in Midtown Atlanta office location.
Ability to sit at a desk and work on a computer for long periods of time.
