Have you negotiated complex, commercial transactions including software license and subscription agreements, IT services agreements and many other types of technology agreements? Have you worked at a large law firm or been in-house at a technology company for at least 5 years? Reporting to the Company?s Vice President of Legal you will be responsible for the leadership and execution of the Company?s growing internal Legal function. The successful candidate will be a leader who can provide guidance and act as an advisor on key legal matters as they relate to the Company's business; he/she should be a business-oriented legal advisor with the ability to provide business solutions and strategies in the Company?s highly entrepreneurial and high-growth environment.
Corporate Counsel will coordinate and collaborate with internal stakeholder organizations such as Finance & Accounting, Sales, IT and the Executive Team as well as interface with senior management and legal departments of our customers and prospects with the goal of reducing process friction, improving transaction flow and driving better customer experience.
Provide hands-on leadership and legal advice with direct involvement in drafting and negotiating enterprise customer contracts, vendor and partnership agreements and legal documents related to new products and services, intellectual property, partners and other corporate development endeavors.
Support business expansion opportunities, including potential commercial/business development arrangements, mergers, acquisitions, joint ventures, and equity investments.
Manage intellectual property portfolio, including trademark and copyright registration and protection, and potential patent matters.
Work closely with Sales to manage the activities related to successful deal negotiations to ensure we meet our growth objectives and revenue goals.
Minimum of 5+ years of experience in general corporate in-house for a software enterprise and/or in a top tier law firm required; software industry experience highly preferable drafting and negotiating complex commercial intellectual property transactions.
Strong experience with contract and legal negotiations with enterprise customers working with enterprise sales teams.
Strong understanding of technology and digital commerce law, and intellectual property, as well as a demonstrated ability to recognize and weigh business and legal risks, think strategically and advance a timely, practical solution.
Ability to build relationships and influence cross functionally.
Experience handling legal affairs for a business having international operations is desirable.
Ability to prioritize and be effective under pressure, in a fast paced business environment with a high volume of transactions working closely with multiple sales teams.
Exceptional presentation and negotiation skills.
Must be a self-starter, highly analytical, with good judgment and sound decision-making skills.
Strong interpersonal skills: the ability to build relationships with outstanding interpersonal influencing qualities and an effective consultative style.
JD degree from a top tier law school highly desired and must be a member of the bar in good standing in the state of California.
