Objective of Position
Join Cloudmark as one of the first members of the legal department. In this role, you will report directly to the VP of Legal and General Counsel. You will be responsible for supporting sales in negotiating and closing all direct global customer contracts, including software term licenses and professional services. The Company primarily sells to service providers ? ISPs, mobile network operators, telcos, etc. In this role you will negotiate software licenses, from the RFP/RFQ stage through contract execution, as well as interface with sales regularly on the direct customer pipeline. This includes defining contractual requirements and appropriate terms, and negotiating and drafting contract terms and conditions. We seek a self-starter who can prioritize and manage multiple tasks and responsibilities and who enjoys working in a fast-paced and high-energy environment. The ideal candidate will also have exceptional project management and communication skills, with the ability and comfort level to ask clear, concise questions that often involve complex technological and legal matters and to get requisite answers from sales and colleagues across functions.
You may also assist with statements of work, supplier, marketing, non-disclosure, and other commercial agreements and work closely with many departments in connection with negotiating and drafting agreements.
Responsibilities
Support the proposals/negotiations process by assisting sales with terms and conditions review, redlining, drafting and negotiating
Establish and maintain policies and procedures for the legal/contracts department
Review and recommend company position regarding customer terms and conditions
Execute assigned projects as determined by needs of the business
Qualifications
Proactive creative problem solving and business partnership approach
Eager to learn new technologies and ideas. Comfortable navigating complicated and nuanced issues
Excellent writing and communication skills
Ability to work in a fast-paced, high-output, team oriented environment
Courteous, flexible and reliable
Handle confidential matters with discretion
Interest in the mobile market preferred
Education
BA/BS with a strong academic record
J.D. degree from an accredited law school
Experience
3+ years of general software licensing work, either in house or at a reputable law firm
Knowledge of and experience in intellectual property law and technology transactions
Experience implementing business strategies, structuring deals, and negotiating agreements
