Maintains legal records, researches law, investigates facts, and prepares documents to assist the Assistant General counsel and CAO & General Counsel by performing the following duties.
Major Job Duties & Responsibilities:
Administer routine contract requirements, maintain contract calendar, prepare and file required filings, assist in preparation of SEC filings.
Assist in administration of Board meeting process, maintain calendar, coordinate agendas, maintain database of resolutions, and prepare consents, delegations, and resolutions
Review and process legal bills from outside counsel; develop and implement reports for monitoring outside legal spending
Conduct research and resolve routine law questions under the guidance of supervising attorney
Prepare routine documents, agreements and instruments, such as confidentiality, consulting, purchase and sale contracts, and insurance certificates
Maintain contract database
Handle information requests to and from other company personnel, including research of legal matters and historical information from company records and information from other departments regarding corporate entities, commercial transactions and litigation; review documents and transmit information and documents to outside counsel and company personnel with minimal guidance from supervising attorney
Prepare minutes and other routine corporate secretary documents for subsidiaries, keep accurate minute books, prepare and file state and local filings (qualifications) for company and subsidiaries
Coordinate with outside counsel, internal product and development and other internal personnel to obtain information and documentation required to maintain U.S. and foreign patent and trademark registrations
Furnish assistance in financing and business development transactions, including due diligence, review and preparation of schedules
Furnish litigation support including file set-up and maintenance, document and fact gathering, review and preparation of discovery materials, and coordination of work through outside counsel
Manage special projects outsourced to consultants or outside counsel
Undertake other ad hoc projects as directed by supervising attorney
Required Education & Experience:
Bachelor's degree (B. A.) from four-year college or university preferred
Paralegal Certification Required
Five-years of relevant experience; or equivalent combination of education and experience.
Past experience working in a start-up or a government contractor is a plus.
