Director of Legal Affairs or Corporate Counsel - 428 Tensilica

Tensilica is looking for a talented attorney with significant transactional experience to join its legal group. The attorney will work closely with Sales and Marketing team members to license Tensilicas configurable processor technology.



RESPONSIBILITIES:

Structuring, drafting and negotiating complex commercial license agreements

Preparing routine agreements including confidentiality agreements, partner, and evaluation licenses

Advise internal sales, marketing, and engineering clients about contractual rights and obligations and solutions for contractual-business issues

Oversee and administer Tensilicas patent portfolio

Advise product teams on open source software issues and copyrights

Assist with other corporate legal matters as needed

REQUIREMENTS:

Demonstrated knowledge of intellectual property law and technology licensing

Demonstrated knowledge of and experience working with open source software issues

Experience drafting and negotiating hardware and software licenses required. Experience in the semiconductor or EDA industry a plus

Ability to drive projects, balance legal/contractual issues with business objectives.

Strong conceptual and practical understanding of revenue recognition policies and best practices

Outstanding interpersonal, communication, and business partnering skills

High standards, impeccable integrity, and good judgment

Occasional domestic and international travel may be required

J.D. from a recognized top tier law school; strong academic record

Admittance to the California State Bar

5 years technology transactions and licensing experience. In-house experience a plus

Proven technical expertise as design engineer and/or patent attorney.
