Job Summary
Assess technical accounting implications for complex business issues and transactions. Ensure that the company?s public financial statements and other SEC filings are of the highest standards of quality, GAAP compliant and useful to management and the investing public. Prepare all SEC filings (Edgar and XBRL) including but not limited to 10-K, 10-Q, Proxy, 8-K, S-3 and S-8, in a timely manner to facilitate in-depth internal/ external review and analysis. Manage the Sarbanes Oxley (SOX) compliance initiatives and reporting. Oversee the stock administration process, including supervision of Stock Administrator and preparation of the equity compensation expense.
Job Responsibilities
Research accounting literature and apply technical standards to complex business issues and transactions, including the areas of revenue recognition, clinical and R&D accruals, stock compensation, tax, and business combinations.
Prepare written accounting and financial reporting position papers on an as- needed basis for review by management and external auditors
Lead quarterly and annual process for filing the Form 10-Q and 10-K (Edgar and XBRL), including drafting and reviewing documents, ensuring quality, coordinating review by management and legal counsel and administering strict timelines
Prepare, review and file other periodic SEC documents including but not limited to Forms 8-K, S-3, S-8, and Section 16 Reporting
Provide accounting support for complex business and financing transactions, including documentation for due diligence, coordination with auditors and legal counsel and required SEC filings
Maintain external reporting calendar including scheduling and coordination of independent auditors, SOX 404 consultants and tax advisors
Prepare quarterly Audit Committee materials
Primary liaison to financial printer, stock transfer agent, warrant agent and stock plan administrator
Active role in updating/implementing accounting policies and procedures to respond to changes in the Company?s business, SEC/GAAP regulations and SOX 404 requirements
Review and validate calculations of equity compensation in accordance with FAS123(R) for stock options granted to employees and consultants, ESPP awards, restricted stock, warrants and other equity compensation instruments
Oversee and review stock-based compensation recordkeeping, including review of equity-based awards to be approved by Board of Directors, stock option exercises and cancellations and ESPP purchases
Other special projects as required
Job Requirements
BA/BS in business, accounting or related field
CPA license required
5 years of increasingly responsible accounting and reporting experience; biotech industry experience strongly preferrred
2+ years SEC reporting experience within a public company is required.
Experience with a Big Four certified public accounting firm is highly preferred.
SOX 404 implementation and compliance experience required
Computer skills: Experience with Equity Edge (or similar equity compensation system) required, good working knowledge of Excel and Word
High level of attention to detail, aptitude for planning/managing deadlines
Maintain confidentiality over all finance and accounting matters and information
Exceptional communication skills, including the ability to effectively present information to various levels of an organization
