General Counsel LogRhythm
LogRhythm is looking for a General Counsel to join our management team at our company headquarters in Boulder, CO. The General Counsel will provide practical legal advice that furthers our business objectives, identify legal risks to the business, and serve as a trusted advisor and business partner to the Executive team as well as the Board of Directors. The ideal candidate will be able to scale the legal department to meet the demands and needs of the business as the company evolves. This position will report to the CFO.
Provide counsel to a trusted circle of advisors and engage at the C-Suite level. Advise the Executive team and Board of Directors on legal compliance and corporate governance.
Manage day-to-day legal operations to provide legal management best practices and operating standards.
Review, draft and negotiate a broad range of complex agreements by working collaboratively with business and functional teams.
Manage company transactions, including M&A.
Manage intellectual property issues.
Assist with negotiations to ensure the business interests and objectives of the company are clearly identified and adequately protected.
Assist with resolving legal-related disputes with vendors, customers and acquisitions.
Manage outside litigation resources, as needed.
Coordinate and manage legal matters handled by outside counsel.
Assist in ensuring all LogRhythm business entitles comply with all applicable U.S. and foreign laws and regulations.
SEC compliance oversight.
Manage risk management (including worldwide insurance programs) and advise the Executive team on risk management strategies to be implemented.
Compliance program development, implementation and management.
Juris Doctor (J.D.) degree from a top law school and be an active member of the bar (any U.S. jurisdiction).
7+ years progressive experience with a major law firm or corporate law department doing complex transactional work
Ability to review, negotiate and draft a wide variety of software sales, license and service agreements.
Understanding of business processes and basic corporate finance, management and accounting principles.
Demonstrates competence in key areas of management and leadership expertise.
IPO and public company experiences are a plus.
Collaborative mindset related to relationship building with internal departments.
Excellent verbal and written communication skills.
Strong attention to detail.
