General Counsel OPX Biotechnologies

Responsible for oversight of all legal matters pertaining to the organization, including securities law; patent, copyright and intellectual property matters; partnership, contract and licensing agreements; and the coordination of all legal matters handled by outside counsel. Develops functional plans for managing legal matters including activities to be performed in-house or through third-party relationships to best manage the companys legal activities and minimize risk for the business. Acts as internal legal resource regarding negotiation and completion of business alliances, confidential disclosures, material transfer, licensing agreements and other intellectual property and contract related matters. Serves as part of the top management leadership team, establishing and implementing short and long-range goals, policies and operating procedures. The ideal candidate will have a JD with additional education in a business or scientific field and 12+ years of directly related experience with small to mid-sized technology companies. Requires securities law experience including oversight of private and public corporate governance, SEC filing preparation and the associated compliance reviews. Experience providing legal support and oversight for a wide range of contracts, business alliances and related agreements required, including involvement in the negotiation and closing stages of such agreements. Knowledge of intellectual property law sufficient to collaborate in the formation of patent strategy with key scientific and legal staff preferred. Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, intellectual property, employment law, and contract management. Excellent planning skills and experience in providing legal guidance to senior management teams through the development stages of the business life cycle.
