The General Counsel is responsible for managing all of the Company?s legal and compliance matters as related to corporate governance, research and development, commercial activities, manufacturing, investor relations, business development, finance and employment law. The General Counsel ensures the needs of management are met through internal resources and appropriately seeks assistance with outside legal counsel as necessary.
OVERSIGHT AND EXECUTION RESPONSIBILITIES:
The main responsibilities of this role include, but are not limited to:
Protects the organization's legal interest by maintaining its business operations within the scope established by law
Provides day-to-day legal advice to Company management to present clear recommendations to assure legal compliance
Proactively identifies and analyzes legal issues
Drafts, reviews and negotiates contractual arrangements for all aspects of the business including, but not limited to, clinical trial agreements, vendor agreements and employment/consulting agreements
Plays an active role in the company?s board management and corporate governance efforts
Partners closely with finance team in preparation and filing of all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests
Provides legal advice in connection with disclosure matters, including press releases, investor presentations, and other corporate internal and external communications
Collaborates with business development on deal structure, drafts and reviews term sheets and letters of intent, reviews and negotiates agreements and manages deal process and execution
Represents the Company to external audiences including state and federal legislators, regulators, general public, competitors, peers in legal community, advocacy groups and industry groups
TRAINING AND EDUCATION:
JD from an accredited U.S. law school
Licensed to practice law in Illinois
Minimum of 5 years in a General Counsel role in the pharmaceutical industry
Broad experience in general corporate matters, including corporate organization and governance, pharmaceutical sales and marketing compliance, securities compliance (Securities Act and Securities Exchange Act for NASDAQ listed companies), intellectual property, drafting transactional documents, license and supply arrangements, employment law, pharmaceutical regulatory matters, and contract management
Experience in negotiating numerous contracts including master service agreements, consulting agreements, nondisclosure agreements, licensing agreements, leases, clinical study agreements, etc.
Experience in intellectual property and pharmaceutical regulatory matters
Excellent verbal and written communication; keeps those informed of issues
Is capable of organizing and prioritizing several projects simultaneously
Gives candid advice; actively supports corporate decisions even if unpopular
An individual who demonstrates humility, good judgment, strong analytical skills, anticipates obstacles, and adjusts quickly to changes
Understands the environment and is aware of projected directions of the industry
Acute sense of ethics and ability to work in a highly regulated environment
