In-house Commercial Paralegal

The position provides paralegal support to the Legal Department, internal clients and outside counsel. Primary responsibility will be to manage the sales process and vendor transactions under attorney supervision, including establishing and maintaining contracts and document databases. Secondary responsibility to support commercial related functions (export compliance, FCPA compliance, intellectual property filings, etc.) and corporate functions as needed.
Essential Functions:
- Establish and maintain contracts database, from selection of vendor to entry and updating of contracts
- Manage contract lifecycle process for basic transaction documents from providing forms through contract execution and filing; support attorney negotiation of complex transactions;
- Interact with internal sources and personnel in the field to assist with contract review process and corporate governance information maintenance;
- Maintain a library of form documents, contract clauses, templates, and historical documents, and add or revise material as needed;
- Support the corporate governance, compliance and stock administration functions as necessary;
- Provide due diligence and other transactional support as needed;
- Assist with organizing and maintaining Legal Department files;
- Perform general administrative support for the Legal Department;
- Other duties and projects as assigned.
- Bachelor Degree with 2-6 years of law firm or other paralegal experience in the technology industry;
- Must have strong organizational skills, detail oriented, able to work independently, and able to work under deadlines;
- Must have excellent written and verbal communication skills and experience drafting legal documents;
- Must exercise sound judgment and appropriately consult with or seek attorney review when necessary;
- Must possess good common sense and approach projects and assignments practically;
- Must be able to learn and aptly assess potential legal risks or exposure.
