There are two general activities for the Paralegal Data Analyst role on the Data Quality Team of the Global Documentation Group (GDP):
1. Paralegal and Due Diligence Activities;
2. Clause Matching and Data Capture (CMDC) activities.
Paralegal and Due Diligence functions are existing functions for which the client is seeking to improve efficiency in and maximize accuracy in the support of the negotiation of and post-execution processing of ISDA documentation. Clause Matching and Data Capture are critical parts of the larger, current state process by GDP to move firm-wide, critical agreement term data from multiple legacy systems to a single golden-source database. Upon the successful completion of onboarding and pre-processing executed ISDA documentation, CMDC processes are performed on the documents to create a collection of OCR corrected files. These files will be further processed by Approvers (Mastering process) for data migration onto Golden Source database. This database is a critical source of contract data used by the firms downstream stakeholders who use the data to manage the affairs of the firm.
Paralegal Data Analyst Process (High-Level ) Responsibilities:
Due Diligence & Pre-Draft Support
Due Diligence to collect and transmit constituent and formation documentation to/from counterparties required for authorization to enter into an ISDA trading relationship
Assist negotiators with the preparation and distribution of templature documentation.
Draft and secure counterparty authorizations and resolutions.
Locating executed documentation for existing counterparties to be replicated for related, new counterparties.
Update agreement workflow tool (Framesoft) with jurisdiction, other counterparty specific information and internal client identifiers.
Seek internal approvals for data entry of credit terms and handle internal queries.
Prepare documentation to add Indirect Principles to managed accounts.
Maintain netting data and escalate issues as they arise.
Transmit final versions of executed documents to/from client and internal stakeholders.
Work with internal post-execution process-owners to process agreement data for downstream feeds.
Clause Matching and Data Capture (CMDC) ? Using the Wordsensa Vision tool take OCR corrected agreement documentation to match clauses and extract data from the documents
Run and reconcile multiple XML sub-processes to capture and correct CMDC
Process includes verifying legal clause matching results with legal clause matching library, highlighting exceptions to the matching process and engaging in manual review, correction and override when appropriate.
Identification of legal clauses & their boundaries; understand their legal context
Identify new/non-standard clauses
Generate Amber documents, a collection of OCR corrected and XML files for an entire agreement family
Preview Amber docs as a precursor to Mastering processing steps (ETL)
Paralegal Data Analyst General Responsibilities and Expectations
Ensure accuracy and completeness of data captured in a cost-effective and timely manner
Research and resolve all data quality issues (i.e. exceptions)
Proactively escalate issues and solutions as necessary and appropriate
Adhere to all Service Level Agreements and accuracy ratios for creating and updating agreement data
Manage service requests (including ad hoc)
Execute necessary maintenance for all master data integrity clean-up projects
Assist in the identification, definition and population of the correct and required data
Collaborate and contribute to successful delivery of the Golden Source data. Those performing Clause Matching and Data Capture must do so with an eye toward the final mastering of the Agreement that occurs downstream of their process
Use Framesoft functionality for data entry
Use DMMS for maintenance

Experience and Skills
4-year College Graduate.
Prior Paralegal experience in a finance, corporate or transactional practice
Prior exposure to ISDA and CSA documentation
Strong working knowledge of MS Word and MS Excel.
Post-Graduate (JD, MBA, MS, or similar degree) a plus.
Prior Paralegal or ISDA documentation administrator experience.
Prior ISDA and CSA interpretation role or ISDA negotiation role.
Expertise in Advanced MS Word and Advanced MS Excel (Advanced ? V-Lookup, H-Lookup, Basic macros etc.).
Familiarity with Data Stewardship and data integration practices in pursuing data integrity and process flows across multiple legacy systems.
Process and Data Modelling and Master Data Management best practices knowledge.
Experience in UAT Testing and coordination
Experienced at working with investment management professionals and front-office personnel with emphasis as liaison between the groups.
Experience managing document extraction.
Experience in data migration projects.
Passport holder with at least three years validity would be beneficial, valid VISAs to the US/UK will be advantage
