Summary:
Quantum3D, Inc. has an immediate opening for a Legal Contracts Manager. This position is primarily responsible for reviewing, drafting, and negotiating contract terms and conditions (including warranty, IP and indemnity provisions) for COTS or modified COTS software and hardware products for a variety of government and commercial customers (domestic and international). The Legal Contracts Manager must ensure contracts and agreements consistently conform to company business interests and policies, and legal requirements.
Responsibilities Include:
Reviewing, drafting and negotiating commercial, international and government contracts/subcontracts, purchase orders, and agreements (including VAR/OEM/Reseller/Distributor agreements, teaming agreements, marketing agreements, EULAs, NDAs and PIAs). Key member of proposal teamassist team in review, analysis and preparation of timely proposals.
Knowledge Skills and Ability:
The successful candidate must have extensive experience drafting and negotiating a wide variety of commercial, international and government contracts/subcontracts, agreements and end user licenses. Must have in-depth knowledge of the UCC and federal acquisition regulations (FAR and DFARS). Must have excellent understanding of U.S. export laws and regulations (EAR and ITAR). Must have excellent interpersonal, communication, writing and negotiation skills. Must be flexible and be able to react promptly to multiple short term deadlines.
Training and Experience
The hired candidate must be US Citizen or Permanent Resident, have a BA/BS and/or Masters Degree in Business, Contracts Management, and/or Finance. 7+ years of experience in federal government contracting in a senior contracts management position, preferably within the legal or finance department of a high tech hardware or software company. 5+ years experience in commercial and international contracting and negotiation.
