Primarily responsible for assisting legal department in many aspects of contract management and subsidiary entity management while also assisting in various special projects.
Maintain database of transactional records of the Company.
Maintain a library of pre-approved form documents, templates and historical documents, revising and updating as needed.
Review, prepare and track commercial contracts, including NDAs, consulting agreements and license agreements, and ensure handling in accordance with Company policies, legal requirements and other specifications.
Prepare legal documents and assist in transactional and administrative projects.
Assist legal department with corporate governance and entity management, including preparation of documentation for corporate amendments, routine filings with government agencies, appointment of directors/officers, maintenance of corporate records, and stock ledgers.
Perform general administrative support for legal department and assist with projects as assigned.
Experience with contracts and form agreements.
Strong analytical and proofreading skills, and interpersonal skills.
Excellent organizational skills; Ability to prioritize and handle multiple responsibilities, with attention to detail and accuracy paying attention to deadlines.
Capable of working independently and in a team environment.
Understanding of corporate records and governance matters.
In-depth knowledge of commercial legal formalities, terms and principles.
Heavy use of and experience using Word, Excel, and PowerPoint.
Experience with database management software (Dokmee).
Strong communication skills and command of the English language ? reading, writing & comprehension.
Required Education and Experience:
3+ years of relevant or prior in-house corporate legal experience.
Bachelor?s degree or paralegal training preferred.
Experience drafting commercial contracts, corporate entity filings and responding to general and specific legal inquiries a plus.
