Senior Corporate Counsel Acquia
In partnership with the contracts manager, responsible for all aspects of worldwide commercial matters. Will also support the General Counsel with IPO preparations, SEC and other regulatory compliance, and general corporate matters. Primary responsibilities include:
Draft, review, negotiate and provide legal and commercial advice with respect to all manner of contracts (customer contracts, financing transactions, M&A, strategic alliances, reseller agreements, and others as needed)
SEC compliance
Maintain the highest standards of integrity for the organization
Manage outside counsel as required
Qualifications and Experience:
Education: J.D. or equivalent from an accredited law school in the US
Licensing: Admitted to practice in MA
Mandatory: 5 -7 years experience; strong business experience; current (post-SOX) experience with public company controls and procedures and SEC disclosure rules; self-starter with ability to thrive in fast-paced, business and results-oriented, team-based environment. Superior communication skills (verbal and written).
Mandatory: Solid experience drafting and negotiating services agreements, channel agreements, professional services agreements, support and maintenance service contracts within tight time and commercial constraints. Demonstrated success in managing multiple transactions in compliance with required processes.
Preferable: large corporate firm experience; in-house counsel experience in the technology industry (open source and/or hosting experience ideal); international experience
