Senior Corporate Counsel ? General Commercial
This position will be a central participant in substantive negotiations and drafting relative to
major customer, vendor and other contracts. Position is based at Ellie Mae?s headquarters in
Pleasanton, CA, and will report directly to the General Counsel. Candidate must be an active
member of California Bar with a J.D. and excellent academic credentials.
Job Responsibilities:
Oversee the negotiation, structuring, drafting and subsequent management of a wide
variety of commercial transactions, including sales, licensing, strategic partnership
and collaboration, marketing, real estate and procurement agreements.
Manage and support a variety of transactional and compliance issues, including sales
and services, data privacy and customer disputes.
Advise on the various legal risks, business strategies and other issues related to
commercial deals.
Partner with sales, revenue recognition, sales operations, technology operations and
other stakeholder teams to ensure agreements are consistent with internal corporate
policies and processes.
Assist with corporate governance and ?34 Act matters.
Participate in M&A and capital markets transactions.
Maintain and manage corporate legal documents.
Qualifications:
J.D. qualified to practice law in California in good standing with undergraduate and
law degrees from highly-reputed academic institutions.
At least 5 years experience practicing law as a corporate attorney, including at least 3
years corporate and other transactional experience with a nationally recognized law
firm.
Experience negotiating, drafting and interpreting a wide variety of commercial
agreements and advising on ?34 Act requirements.
Background in software and/or financial services industry is ideal.
Ability to organize, prioritize and manage both mission critical and routine projects
independently in a fast-based and demanding work environment.
Strong work ethic, a sense of urgency and is highly-responsive to many deadlines.
Good sense of judgment and practical business mind to balance competing legal and
business considerations.
Must have exceptional attention to detail, clear written and verbal communication
skills and strong negotiation skills.
Track record of establishing strong working relationships with internal/external
business clients and within the legal department/law firm.
Sense of humor, positive and strong interpersonal skills, including maturity, creativity
and a high energy level.
