Reporting to the Vice President /General Counsel, the qualities of an ideal Senior Corporate Counsel candidate include:
8+ years of combined experience in general corporate and commercial law specifically in the areas of technology, e-commerce, marketing/advertising law including at least three years in an in-house legal department.
Highly skilled at negotiating and drafting all types of agreements related to software and content licenses, strategic alliance and partnership agreements, marketing agreements and terms of use for online services.
Experience with M&A transactions and SEC public company reporting a plus.
Ability to organize, prioritize and manage deadlines in fast-paced work environment and respond promptly to legal requests from business development, marketing, engineering and other clients, as well as facilitating the execution and safekeeping of all final documentation for accurate and complete data tracking.
Effective communication skills, both written and verbal, and professionalism with a service-oriented attitude in providing internal clients with high quality and timely legal advice.
Comfortable working across time zones and with partners in offices throughout the U.S.
Good common sense and business judgment in providing both practical and theoretical advice to business units.
A creative problem solver able to craft advice, research issues and draft transactional documents where precedents may not exist, and assist with analyzing and formulating policies with respect to novel legal issues
Sense of humor and must enjoy working on a team and with people in different departments and different offices at all levels in the organization
Must be in good standing with the Kentucky Bar with a law degree from an ABA- accredited law school with superior academic credentials.
Position will require travel to corporate offices in San Mateo, California and Atlanta, Georgia and Raleigh, North Carolina.
