Job Description
Seeking experienced and key member to join the Company?s in-house legal function to provide company-wide corporate legal counsel throughout its global operations. Primary responsibility will be duties surrounding commercial licensing of software including handling wide range of contract inquiries related to customer sales agreements; reviewing and negotiating software license and subscription agreements, professional services agreements, and amendments. Other key responsibilities may include: assisting BOD with M&A transactions; reviewing, preparing, and/or negotiating documents in connection with various strategic corporate initiatives; negotiating, reviewing drafting, and/or revising hundreds of contracts annually, which may include customer, supply, consignment, confidentiality, lease, financing, template documents and other agreements; and reviewing, updating, and/or drafting various Company policies, forms and procedures as needed.
Responsibilities:
?Drafting software license, subscription and services agreements for customers and prospects.
?Responding to various commercial contract inquiries to support the Sales team and other Company initiatives.
?Understanding of revenue-driven priorities and flexibility in schedule for quarter-end close and other key processing occasions.
?Ability to multi-task, delegate and deliver key projects; while managing a high volume of assignments with varying priorities in a fast-paced environment.
?Strong business orientation, including understanding accounting and financial concepts.
?Excellent written and verbal communication skills. Effectively communicate complex ideas or legal concepts in an easy to understand manner through all levels and functions within the Company.

?Ability to quickly learn a new area of the law with minimal instruction.
Job Requirements
?Juris Doctorate Degree from an American Bar Association accredited law school.
?Experience with drafting, negotiating and analyzing complex software license agreements (perpetual and SaaS).
?Prior in-house legal experience at a technology company.
?Experience working with the Board of Directors.
?International experience preferred.
?Ideal candidate will be member of the Massachusetts bar.
?Excellent knowledge of laws and regulations (including privacy laws) applicable to corporations in general and software companies in specific.
?Detail oriented.
?Excellent time management, communications, decision-making, presentation, human relations and organizational skills.
