Title: Senior Counsel
Effective Date: January 13, 2014
Reports To: General Counsel
Individual will be responsible for performing corporate governance, securities filings, mergers and acquisitions, and support the General Counsel as required. The Senior Counsel will provide corporate officers and directors with effective advice on company policies, governance matters, corporate development activities and other matters as required.
PRIMARY DUTIES AND RESPONSIBILITIES:
Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters.
Serve as key lawyer/legal advisor on major business transactions, including acquisitions, divestitures, joint ventures and financings.
Insure that all public company filings, including the company?s annual proxy statement, are prepared timely and accurately, advise on SEC matters and generally insure the company?s compliance with SEC, corporate charter and exchange requirements.
Maintain the company?s board charters, minute book and support all board of director related matters.
Advise on legal aspects of the company?s financing. Including assessing and advising on current and future business structures and legal entities.
Develop training programs for board and senior management on corporate governance, public company reporting, code of conduct and other major corporate policies.
Minimum of Eight years? experience as a practicing corporate lawyer, preferably initially with a prominent national law firm before moving to an in-house position.
Broad experience in public company filings;
Exposure to and/or familiarity with the following areas of law: corporate, antitrust, computer law, intellectual property and privacy;
Experience dealing with the SEC and Section 16;
Experience working on matters of corporate governance and with a board of directors is required.
Familiarity and understanding of Sarbanes-Oxley and legislation and related FASB revenue recognition guidelines is required.
Education, Knowledge, Skills, and Abilities:
The successful candidate should hold a law degree and be a member of the bar.
Minimum of three years of experience in a law firm environment.
Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates.
Ability to travel as required.
