About the job:
Virtustream is seeking a Senior In-House Attorney to be based at its headquarters in Bethesda, MD or its Atlanta, Georgia office. The successful candidate will be Virtustream?s Senior Attorney.
The Senior Attorney will be responsible for managing a legal function to support the evolving needs of a fast-paced and high growth business. Activities include providing legal management best practices and operating standards related to business, regulatory and legal strategic matters, and establishing policies and procedures to manage outside counsel for specialized legal services.
The Senior Attorney will represent the Company in a broad range of corporate and commercial matters, including financial and commercial transactions, M&A, licensing, regulatory compliance, employment law, litigation management and corporate and board governance.
The Senior Attorney will be expected to provide enterprise-wide leadership and forge substantive relationships throughout the Company as well as with the Company?s external stakeholder groups.
The Senior Attorney will be a part of the management team reporting to the Chief Financial Officer.
Provide proactive service and counsel on key legal issues related to contracts, regulatory compliance, governance and business ethics, corporate matters and labor laws.
Manage day-to-day legal issues, including contract and license negotiation, HR and other business issues.
Manage and supervise any litigation involving the Company and its affiliates.
Create, implement and ensure adherence to governance, risk and compliance programs.
Assess and advise on liabilities, legal restrictions and risks of proposed commercial and public sector transactions and devise creative and practical legal solutions to meet the commercial needs.
Draft, review and negotiate a broad range of agreements, including software license, maintenance, cloud computing, professional services and procurement contracts.
Draft, review and negotiate agreements with partners, and advise on liabilities, legal restrictions and risks associated with partner programs.
Collaborate and partner effectively with the business, including providing advice and counsel to executives and sales professionals on issues related to commercial and public sector licensing and service transactions.
Ensure that the Company?s products are compliant with applicable laws and regulations, such as export control laws, data privacy and security laws.
Supervise outside counsel when necessary or appropriate and assume responsibility for quality and cost for matters.
Assess legal risks and suggest appropriate business practices in light of legal risk assessments. Mitigate business risk by establishing policies and business processes to keep potential liabilities to a minimum.
Develop and provide training to Company employees on legal matters and implications for the organization.
Help manage the Company?s intellectual property portfolio and strategy.
Manage outside counsel on a global basis.
Participate in special projects within the legal department as assigned, including efforts to develop, implement and enhance processes and policies that improve transaction velocity without material increase in risk.
Work closely with the CFO to prepare for the possibility of Virtustream to go public.
QUALIFICATIONS - KNOWLEDGE - SKILLS:
Juris Doctorate (JD) from a top-quartile law school and actively licensed to practice in Maryland or Georgia
10+ legal experience in a business environment, including at least 5 years in an enterprise software or SaaS company.
Contract and license review and negotiation experience.
Experience in corporate governance, employment law and commercial matters.
IPO, public company, SOX and Government contracting experience is a plus.
International business and contracting experience.
Experience in government regulatory matters.

High degree of professionalism and integrity with ability to handle confidential information appropriately.
