The Senior Counsel will be responsible for serving as a legal resource for all areas of Company business, focusing on general corporate matters. Key responsibilities will include preparing, reviewing and negotiating a variety of commercial contracts and definitive agreements for Company transactions; facilitating the growth of new lines of business; assisting with corporate governance matters; focusing on regulatory, privacy and data security, and other legal compliance matters; and strategically aiding growth of the Company?s overall business. The Position will provide guidance on business and legal matters such as contractual partner relations; deal structure; sales center functions; labor and employment issues; marketing endeavors; licensing and web development; intellectual property development; litigation management; Company policies and procedures; and risk management and legal compliance. This role will maintain a significant level of autonomy while working closely with management as well as the Company?s General Counsel. The Senior Counsel must enjoy working with others and be a self-starter with outstanding written and oral communication skills. The ability to think critically and creatively is crucial.
Work with Allconnect business units by providing legal advice and appropriate documentation.
Help Company to think strategically about growth opportunities and aid in the development and realization of such opportunities.

Prepare, review and negotiate contracts and transaction documents
Facilitate growth of new lines of business
Provide regulatory, privacy and data security and general compliance oversight
Other legal matters (e.g., management of labor/employment, litigation and intellectual property matters)
Superior oral and written communication skills

Superb interpersonal skills and demonstrated ability to influence others effectively
Ability to understand and prioritize the impact of changes across different functional areas
3 to 6 years of experience practicing law, with a specialty and focus in corporate/transactional law
3+ years large law firm experience
Complex transactional experience (securities, mergers & acquisitions, private equity/venture capital) is a plus
JD; admitted to State bar in at least one jurisdiction
