Senior Manager External Reporting and Compliance GFI Software
THIS JOB HAS EXPIRED Responsibilities:
Prepare consolidated IFRS financial statements and footnotes.
Plan, coordinate, manage and prepare accurate F-1 registration statement and Quarterly and Annual Reports on Form 6-K/20-F and manage the internal and external review and timely filing of these documents with the SEC
Create and maintain SEC calendar to inform parties of necessary deadline adherence for the following processes: financial close, BOD and Audit Committee package, quarterly earnings releases and 6-K/20-F
Establish Disclosure Committee
Prepare analytics, review analytics of group accounting packages, Disclosure Committee feedback, FP&A analysis, etc. in order to author MD&A and other required disclosures
Prepare quarterly earnings releases and support quarterly earnings calls
Review corporate events and transactions for required public disclosure
Interface with external auditors and outside SEC legal counsel and inside legal counsel to ensure all aspects of the financial reporting are in compliance with the appropriate standards
Interface with internal resources who support the information needs of the SEC filings, e.g. VP HR, FP&A, subsidiary finance directors, legal
Prepare and support external audit of group management report and financial statements for parent holding company (Luxembourg domiciled).
Provide assistance with technical accounting research at corporate and subsidiary level. Document and facilitate review process with management and external auditors. Monitor and ensure timely identification and compliance with evolving accounting guidance.
Manage accounting and recording for stock compensation. Coordinate with HR, stock compensation administrator and tax regarding all equity items.
Support monthly, quarterly and annual close process. Liaison to finance directors at certain subsidiaries.
Ensure compliance with all provisions of SOX; coordinate with external auditors.
Implement and maintain reporting procedures to comply with internal control requirements. Manage company-wide controls process initiatives. Work one-on-one with finance directors to evaluate controls and provide guidance to strengthen controls. Ensure consistency across global organization.
Responsible for management of Sarbanes-Oxley implementation & ongoing compliance including:
Control Design, Documentation and Updates
Testing of Operating Effectiveness (review to ensure independence and competency of testers)
Prepare assessment reporting including testing status and results
Education (create training for process owners & testers)
Participate in the continuous assessment of the close process and process re-engineering to reduce the timing to close the financial period
Participate in other projects as required
Monitor foreign private issuer (?FPI?) status
Participate in implementation of Hyperion consolidation software (HFM)
Bachelor's degree in Accounting or Finance required. CPA desired.
6+ years of progressive experience from within a Big 4 public accounting firm with heavy exposure to SEC and financial reporting OR in a combination of Big 4 public accounting and large, global publicly traded company roles with responsibility for SEC reporting
Experience with SEC reporting required
Thorough, hands-on understanding of SOX, GAAP/IFRS and SEC requirements.
Experience with SOX required
Working knowledge of COSO and risk assessment practices
Excellent project/process management, communication and interpersonal skills.
Working knowledge of accounting software systems
Self-starter, with strong attention to detail, quality, accuracy, and data integrity.
Able to work in a fast-paced, deadline oriented environment; strong sense of urgency.
Ability to execute and follow-through to completion and documentation
Ability to develop and sustain relationships with managers across the organization
Some international travel may be required
