Job Description
Senior Contracts Negotiator
Attachmate?s senior contracts negotiator will be part of the Attachmate legal and contracts team, and responsible for drafting, reviewing, and negotiating a variety of agreements and other legal documents. This individual will work closely with the Consulting, Development, Product Management, Technical Support, Marketing, Sales, Finance, and Global Sales Operations teams and, where appropriate, under the supervision of legal counsel.
Responsibilities (include but are not limited to):
Structuring, drafting, and negotiating complex agreements such as software licenses, professional services agreements and statements of work, and general commercial agreements for the company's products and services, including by developing standard and fallback contract terms to help streamline the contract review process;
Developing negotiation strategies, conducting negotiations with customers (commercial and federal government), evaluating risk exposure, and making recommendations to internal business clients, including senior management;
Working with internal organizations such as Consulting, Development, Product Management, Technical Support, Marketing, Sales, Finance, and Global Sales Operations with a sense of urgency to ensure efficient deal closure, protection of the company?s IP, and compliance with internal policies;
Advising product development, product marketing, and technology teams on risks around and required legal wording for the company?s technical solutions and numerous product and services offerings, including the rebranding and resale of third party products;
Communicating effectively in writing and orally with the company?s global legal and contracts team members, employees, and customers;
Writing business correspondence and performing general administrative tasks;
Maintaining absolute confidentiality of sensitive corporate matters; and
Other responsibilities/projects as assigned.
Required skills/experience:
5 to 7 years minimum work experience in a contracts negotiator, contracts manager, or similar role within the software, hardware, telecommunications or technology industry preferably software or intellectual property licensing agreements on the sales side;
Associate Degree in business administration, computer science or related technical field, Paralegal Certificate, or equivalent proven work experience, with excellent written and oral business communication skills;
Detail oriented, self-motivated individual with excellent ability to correlate and negotiate contract principles in writing and orally, and a high level of organizational skills; and
Self-motivated, service-oriented, able to work independently and multitask in a cross-functional team environment, and to deliver on commitments under the pressure of deadlines and demands of a variety of business clients and customers.
Desired skills:
Knowledge of revenue recognition rules for software contracts
Solid insight into software technologies (proprietary and open source) and a grasp of its impact on customer deals in order to adequately support consulting, engineering, product management and technology teams
Experience in the areas of open source license terms, commercial software product licenses, and product use rights
Experience negotiating with or on behalf of federal government customers, in particular, as a services subcontractor to large Primes
Experience with product integration agreements and/or technology development agreements
