Under general direction assist in the daily operational affairs of the legal department of a multinational technology company in areas such as intellectual property management, contract management, board of director relations, subsidiary management, records management, and corporate governance.
5 ? 7 years of directly relevant corporate paralegal experience
Experience with Oracle (or similar) ERP preferred.
General knowledge of laws and regulations applicable to corporations
Excellent attention to details, time management, communications, decision making, presentation, and organizational skills
PCs, word processing, spreadsheets, and legal reference materials
Working knowledge of basic corporate formalities (board and shareholder approvals; corporate record keeping);
Ability to interface effectively with all levels of company personnel
Essential Duties & Responsibilities include, but are not limited to the following:
Assists attorney(s) in preparation of legal documents
Assists the Chief Legal Officer and other executive officers within the company in a wide range of activities such as transactional, contracts, finance, tax, litigation and intellectual property.
Coordinates domestic and international corporate subsidiary filings, qualifications, incorporations and related activities; organize corporate parent/subsidiary records and minute books, maintain regular contact with foreign subsidiaries;
Assists contract team with company certifications, corporate responses, proposals; maintain contract database;
Provides administrative and operational support
Assists in the preparation, training and implementation of policies and procedures, budgeting, legal invoices, expense reports, coordination of department meetings and calendars.
Responsible for corporate governance, board of directors, and executive officer related matters, to include, assisting in the preparation of corporate minutes/consents and other board documents, coordination of parent/subsidiary relations, director payments and reimbursements;
Assists with special projects as assigned.
