This position will also assist in the preparation of the company for an initial public offering, and assist with ongoing securities filings thereafter. LDR's headquarters is in Austin, TX, with offices in Troyes, France, Sao Paulo, Brazil, and Beijing, China. LDR is a fast growing company, expanding rapidly both in the U.S. and internationally.
Responsibilities:
Support General Counsel in Corporate Secretary role: draft by-laws, articles, certificates, amendments, resolutions, consents, and minutes; create, update and maintain corporate minute books and records. Assist with preparation of board and committee meeting materials, including collating board books, preparing labels, etc.
Prepare secretary's and other officer's certificates.
Maintain corporate structural diagrams, organizational charts.
Stock and other equity plan administration.
Maintain stock ownership/cap tables.
Keep track of and file state corporate qualifications/reports; maintain agents for service of process; obtain certificates of good standing. Assist with entity formation.
Manage litigation database; track filing deadlines; prepare litigation reports.
Conduct legal research and prepare memoranda: research and analyze legal sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions and legal codes; investigate facts and laws to determine basis for causes of action in the areas of intellectual property, product liability and general commercial litigation.
Coordinate litigation holds and discovery (electronic and paper), working closely with other departments as needed. Assist with responses to subpoenas, document and deposition requests.
Assist counsel in the preparation of documents (contracts, NDAs, vendor agreements, formal notices, affidavits, etc.); manage execution (signatures) of agreements.
Negotiate, draft, redline, revise, and implement contracts, including confidentiality agreements, consulting agreements, and agreements for the purchase and sale of goods and services.
Contract management: develop workflows, databases; maintain files.
Distribute and coordinate annual D&O questionnaires.
Assist with the preparation and filing of securities filings such as Form 8-Ks, Proxy Statements, etc.
Prepare and file Section 16 forms with the SEC.
Organize and maintain legal calendar, files, logs and checklists.
Develop forms.
Attend meetings, take notes, and prepare minutes and task lists.
Draft letters and other correspondences.
Obtaining due diligence materials such as corporate certificates of good standing, securities filings.
Assist with travel arrangements, expense reports, purchase orders and other administrative needs of the General Counsel.
Be a backup for compliance administrative functions and provide assistance, as needed, with compliance/ethics functions.
Perform other duties as assigned.
Qualifications:
Position requires a bachelor degree or higher from an accredited college or university in the areas of business, business administration, law, or other related field of study.
Paralegal certification preferred.
A minimum of 5-10 years of relevant corporate (preferably including in-house) paralegal experience in regulated industry required.
Prior experience in the biotechnology, pharmaceuticals, or medical device industries preferred.
Corporate governance, SEC and contracts experience required.
Experience working in a Corporate Executive environment preferred.
Experience supporting Corporate Secretary function preferred.
Proficient in MS Word, Excel and PowerPoint (Access, Adobe Forms, Visio a plus), able to type at least 65 words per minute.
Must have the ability to fluently speak, read, write, and understand the English language. Ability to speak French, Portuguese, Spanish, or Mandarin a plus.
Understanding of legal research methodologies.
Must be highly organized, detail oriented, and have the ability to work effectively under pressure in both a team setting and individually. Must be able to handle confidential information.
Must have the ability to establish and maintain a courteous and cooperative working relationship with coworkers, customers, and visitors.
Ability to travel no more than a few times per year.
Strong verbal and written communication skills including ability to interact positively with a wide variety of individuals.
