The Contracts Manager will be responsible for the drafting, negotiation, review, management and implementation of contracts with significant impact to the corporation. The Contract Manager will work cross-functionally with other business areas, e.g. finance, law, operations, and provide guidance and interpretation to business leaders regarding contractual rights and obligations. The Contracts manager must bring a strong business understanding and execute with an appreciative balance between business competitiveness and financial/analytical issues and profit and loss implications.
--Draft, review and negotiate company contracts, including Non Disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Distribution/Resale Agreements, Consulting Agreements, Licensing Agreements, Master Agreements, and review of customer proposed terms and conditions.
--Serve as the point of contact for management and customers on contractual matters. Act as contractual "middleman" between legal, sales and customers, ensuring timely review and approval / reconciliation of variations. Ensure exception terms are business aligned and achievable.
--Support and advise management on contractual rights and obligations and serves as a resource for interpretation of terms and conditions.
--Coordinate and work with company outside counsel on major issues and risks.
--Prepare redlined recommendations and often negotiate directly with customer attorneys and/or procurement staff until agreement has been reached
--Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects.
--Develop and implement procedures and policy for contract management and administration in compliance with company policy.
--Provide Risk Management recommendations to business leaders and work with Finance to coordinate contractual insurance requirements
--Work with Finance to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc. May include 'financial engineering' and understanding / evaluating economic impact of terms and term options.
--Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
--Conducts itemized budget analysis. Monitors contract billing process, performance, analyzes and reviews expenditures and reimbursements to funded organizations. Perform fiscal reviews of expenditure, administrative and other programmatic information to assess delivery of services and overall contract fiscal performance and deviation. Identifies issues and provides technical assistance to resolve issues.
--4+ years of experience in contracts or legal administration.
--5+ years legal and/or business experience.
--Experience in drafting custom/unique contractual language
--Excellent organizational and analytical skills, including (a) the ability to multi-task and (b) the ability to manage while under deadlines with multiple internal colleagues and/or departments.
--Experience performing strategic risk-reward decisions applied to the highest-level goals and objectives of the corporation.
--Experience managing agreements in high technology products and services, international contracting, strategic partnering, or other highly complex contractual arrangements.
--Certified Commercial Contracts Manager (CCCM) or Certified Professional Contracts Manager (CPCM) highly desirable.
--Technical professional services, contract negotiation, and/or other direct customer facing experience a strong plus.
--Extremely strong organization and productivity skills to seamlessly manage multiple engagements simultaneously.
--Exceptional written and verbal communication skills required.
--Strong understanding of software technology, licensing, and controls.
--Good understanding of business processes in small and large companies.
--Strong understanding of software compliance issues in large companies.
--Strong analytical and problem solving skills required; attentiveness to detail.
--Ability to exercise independent judgment.
--Ability to lead, influence, and team with others.
--Professionally persistent, patient, respectful, honest, and strong under pressure, especially during occasional adversarial conversations.
